Terms of Service

These Terms of Service ("Terms") govern CloudZH licenses and the use of CloudZH. By completing a purchase or using CloudZH, you agree to these Terms.

1. Provider

In these Terms, "CloudZH", "we" and "us" refer to the provider. "You" refers to the individual or organisation purchasing or using a license. "Consumer" means a natural person who purchases a license for purposes outside their trade, business or profession.

2. The Software

CloudZH is self-hosted server management software. You install and run it on hardware or virtual machines that you control. We do not host your server, your data or the applications you install with CloudZH.

The features of CloudZH are described on cloudzh.app. We continuously develop CloudZH. We may change features for valid reasons, such as security, technical developments, legal requirements or changes made by third-party applications, at no additional cost to you. If a change negatively affects your use of CloudZH more than minimally, we will inform you by email in advance. You may then terminate your subscription free of charge within 30 days after the change and receive a pro rata refund for the unused period.

3. License

3.1 Grant. Subject to payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to install and use CloudZH for the duration of your subscription.

3.2 Per-server licensing. Each license covers one server. A "server" is one installation of CloudZH on one physical or virtual machine. The number of licensed servers equals the quantity of your subscription.

3.3 Users. Each licensed server may have an unlimited number of user accounts.

3.4 Restrictions. You may not:

You may install and administer CloudZH on behalf of another person, for example a family member or a client, provided that a separate license is purchased for each server.

3.5 Activation and license verification. Each server is activated with your license key and a one-time installation key. An activated server checks in with our license service once a day to confirm that the license is active and to receive a signed license file. Details on the data transmitted are set out in our Privacy Policy. You may not run more activated servers than you have licensed, and you may not clone an activated server to run additional instances.

3.6 Restricted mode. CloudZH switches to restricted mode if your subscription ends, if a renewal payment is still outstanding 7 days after it failed (section 4.8), if your license is deactivated because of a breach of these Terms (section 13), or if your server cannot reach the license service for 14 consecutive days. If the license service is unavailable for reasons on our side, this period is extended accordingly. In restricted mode, CloudZH updates, new app installations and new user accounts are disabled. Everything already in place keeps running, including your installed apps, user logins, backups and security updates for existing apps. Your data always remains on your server.

3.7 Trial licenses. If we provide a free trial license, it is valid for the period stated, ends automatically and requires no cancellation. Sections 4 to 6 do not apply to free trials.

3.8 Ownership. CloudZH, including its code, design and trademarks, remains our property. All rights not expressly granted are reserved.

4. Purchase, Billing and Renewal

4.1 Reseller. CloudZH licenses are sold by Sold through Link, LLC ("Link"), a Stripe company, acting as reseller and merchant of record. Link sells the subscription to you, processes your payment, issues receipts and invoices, and calculates and remits applicable taxes. Link's purchase terms and privacy policy, which are shown at checkout, apply to the purchase transaction. These Terms govern your license and your use of CloudZH.

4.2 Plans. Subscriptions are offered on a monthly or yearly basis and are billed in advance.

4.3 Delivery. After your purchase, your license key and installation instructions are sent automatically to the email address used at checkout, usually within a few minutes and no later than 24 hours.

4.4 Automatic renewal. Your subscription renews automatically at the end of each billing period until you cancel it.

4.5 Changes. You can change your plan or the number of licensed servers using the subscription management options linked in your purchase confirmation and receipts, or by contacting us. Increases take effect immediately and are charged pro rata for the remaining billing period. Reductions and switches to a shorter billing interval take effect at the end of the current billing period.

4.6 Prices and taxes. Prices are shown on cloudzh.app in US dollars and include applicable taxes. Your exact price in your local currency (for example CHF) is shown at checkout before you pay.

4.7 Price changes. We will notify you of price changes at least 30 days before they apply to your next renewal. If you do not agree, you may cancel before the change takes effect.

4.8 Failed payments. If a renewal payment fails, it will be retried. If the payment remains outstanding after a grace period of 7 days, your servers switch to restricted mode (section 3.6) until payment is received.

5. Cancellation

You can cancel your subscription at any time at https://app.link.com, using the subscription management options linked in your purchase confirmation and receipts, or by writing to support@cloudzh.app. Cancellation takes effect at the end of the current billing period, and you can continue to use CloudZH until then.

6. Refunds and Right of Withdrawal

We do not offer voluntary refunds for unused time. Details are set out in our Refund Policy. Any rights you have under Link's purchase terms or under mandatory law remain unaffected.

Right of withdrawal (EU, EEA and UK consumers). Your purchase is made from Link (Sold through Link, LLC). If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you may cancel your order within 14 days from the day you receive access to CloudZH, as set out in Link's purchase terms. To cancel, contact Link support at https://support.link.com and state "cooling off period" as the reason, or write to support@cloudzh.app and we will help you. If you cancel, your license is deactivated and your servers switch to restricted mode.

7. Third-Party Applications

The CloudZH App Store lets you install applications developed by third parties. These applications are not part of CloudZH. They are provided by their respective authors under their own license terms. We are responsible for the way CloudZH installs, configures and connects these applications, but not for the applications themselves. We do not warrant their functionality, security or availability. You are responsible for complying with the license terms of any third-party application you install.

8. Acceptable Use

You are solely responsible for the content stored, processed or distributed on your server and for complying with all applicable laws, including copyright law. You may not use CloudZH to:

If you violate this section, we may suspend your license after prior notice, or with immediate effect in serious cases such as ongoing attacks on third-party systems. Termination is governed by section 13.

9. AI Assistant

CloudZH includes an optional AI assistant. To use it, you provide your own API key from an AI provider of your choice. Your key is stored encrypted on your server. Requests are sent from your server directly to that provider and are governed by the provider's terms; they do not pass through our systems. Any usage costs are billed to you by the provider. The assistant only proposes actions, which run after you confirm them. AI-generated output may be inaccurate. Review it before acting on it.

10. Updates and Support

During an active subscription, you are entitled to updates of CloudZH, including security updates. Support is provided by email at support@cloudzh.app on a best-effort basis, without guaranteed response times unless agreed otherwise in writing.

11. Warranty

We supply CloudZH as described on cloudzh.app and provide the updates, including security updates, needed to keep it in that condition during your subscription. If CloudZH does not work as described, please contact support@cloudzh.app. We will fix the defect within a reasonable time. If we cannot, you may terminate your subscription and receive a pro rata refund of prepaid fees for the remaining period. If you are a consumer, your statutory rights in relation to defective digital content and digital services remain unaffected. We do not warrant that CloudZH works without interruption in every hardware and network environment.

12. Limitation of Liability

12.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law and where liability cannot be limited under mandatory law.

12.2 In cases of slight negligence, we are liable only for breach of an obligation that is essential for the proper performance of these Terms and on which you may regularly rely, and only for damage that was typical and foreseeable when you purchased the license. Our total liability under this section is limited to the fees you paid for CloudZH in the 12 months before the event giving rise to the claim. Otherwise, liability for slight negligence is excluded.

12.3 You are responsible for regular backups of your server and data. If data is lost as a result of our slight negligence, we are liable only for the effort that would have been required to restore it from a regular backup.

13. Suspension and Termination by Us

We may suspend or terminate your license with immediate effect if you materially breach these Terms. Failed payments are handled under section 4.8. We may also terminate your subscription for any other reason with 30 days' notice. In that case, we refund any prepaid fees for the unused period on a pro rata basis.

14. Privacy

Our processing of personal data is described in our Privacy Policy.

15. Changes to These Terms

We may change these Terms for valid reasons, such as changes in the law, security requirements or new features, provided the change does not shift the balance of our main obligations to your disadvantage. We will inform you of material changes by email at least 30 days before they take effect. If you do not agree, you may cancel your subscription before the changes take effect; the previous Terms continue to apply until the end of your current billing period. Price changes are governed by section 4.7.

16. Governing Law and Jurisdiction

These Terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country where you have your habitual residence.

If you are a business customer, the exclusive place of jurisdiction is Dietikon, Canton of Zurich, Switzerland. If you are a consumer, you may bring proceedings in the courts of your place of residence or in Switzerland, and the mandatory rules on consumer jurisdiction apply.

17. Miscellaneous

If any provision of these Terms is found invalid, the remaining provisions remain in effect. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the use of CloudZH. The purchase transaction is additionally governed by the purchase terms of Link.
